ACCEPTANCE OF TERMS OF SERVICE

These Terms of Service (the "Agreement") govern your access to and use of the services, features, and platforms (collectively, the "Services") provided by PilotAI (also referred to as "we," "us," and "our"). By creating an account with us, accessing, or using our Services, you agree to comply with and be bound by this Agreement.

If you do not agree to these terms, you must immediately stop using our Services.

By using the Services, you acknowledge and agree that you have read and understood these Terms of Service and our Privacy Policy. These documents together govern your relationship with PilotAI.

DESCRIPTION OF SERVICES

PilotAI is an AI-powered financial technology platform that provides:

AI-Generated Market Signals: Algorithmic signals including projected returns, trade probabilities, option pricing estimates, take-profit/stop-loss levels, and performance data. These signals are generated by artificial intelligence models and are provided strictly for educational and informational purposes.
Portfolio Dashboard: A summary of the client's holdings delivered through an intuitive dashboard interface.
AI Chatbot: A conversational AI assistant that provides informational responses to financial queries. The chatbot does not provide personalized investment advice.
Alerts & Notifications: Trade alerts and market notifications based on algorithmic analysis.

PilotAI offers its services in different tiers:

Free Subscription Tier: Free users shall have access to a limited set of PilotAI's features, as determined by PilotAI. PilotAI reserves the right to modify these limitations at any time without prior notice.
Paid Subscription Tier: Paid users shall have access to an enhanced set of PilotAI's features as defined in the selected subscription plan. Access to these features is contingent upon timely payment of subscription fees.

A. AI-Specific Disclosures

You acknowledge and understand that:

AI Limitations: PilotAI's AI models, including the chatbot and signal-generation algorithms, are trained on historical data and may produce inaccurate, incomplete, or misleading outputs. AI-generated content should not be relied upon as the sole basis for any investment decision.
No Human Oversight of Individual Outputs: Individual AI-generated signals and chatbot responses are not reviewed by a human financial professional before delivery. While PilotAI's team periodically reviews system performance, specific outputs are machine-generated.
Data Limitations: AI outputs are based on available market data, which may be delayed, incomplete, or contain errors. PilotAI does not guarantee the timeliness, accuracy, or completeness of any data used to generate AI outputs.
No Personalization: AI-generated signals and alerts are not tailored to your individual financial situation, investment objectives, risk tolerance, or tax circumstances. They represent algorithmic outputs, not personal recommendations.

ELIGIBILITY AND ACCOUNT REGISTRATION

By accessing or using the Services, you represent and warrant that you:

Are at least 18 years old and capable of forming a binding legal agreement.
Have read, understood, and agree to these Terms of Service.
Are not barred from using the Services under the laws of the United States or any other applicable jurisdiction.

If you are using the Services on behalf of a legal entity, you represent that you have the authority to bind that entity to these terms. You may be required to create an account and provide personal and financial information to access certain Services. You agree to provide accurate, complete, and up-to-date information and to promptly update it as necessary. You are responsible for maintaining the confidentiality of your account and login credentials and you agree to notify us immediately if you believe there has been any unauthorized access to your account.

CONFIDENTIALITY AND UNAUTHORIZED SHARING

You agree to maintain the confidentiality of your login credentials and not to share or disclose them to any third party. You acknowledge that:

Unauthorized sharing of login information may result in unauthorized access to your account and theft of your personal information.
Any unauthorized sharing of alerts, signals, AI-generated content, or other proprietary information obtained from PilotAI with third parties will be considered a breach of confidentiality.
Such breaches may result in immediate termination of your account without notice or refund.
We reserve the right to take legal action for any such breach, and you may be prosecuted to the fullest extent of the law.

CONDITIONS OF USE

By using our Services, you agree that you will:

Comply with all applicable laws, including, without limitation, privacy laws, intellectual property laws, anti-spam laws, export control laws, tax laws, and regulatory requirements;
Provide accurate information to us, whether reported directly or through a third party whom you authorize, and keep it updated;
Use the Services solely for your personal, non-commercial use; and
Use the Services in a professional manner.

You agree that you will not:

Use any robot, spider, scraper, deep link, or other similar automated data gathering or extraction tools, program, algorithm, or methodology to access, acquire, copy, or monitor our Services without our express written consent;
Use or attempt to use any engine, software, tool, agent, or other device or mechanism to navigate or search our platform, other than the search engines and agents available through the platform and generally available third-party web browsers;
Post or transmit any file which contains viruses, worms, Trojan horses, or any other contaminating or destructive features, or that otherwise interfere with the proper working of our Services;
Attempt to decipher, decompile, disassemble, or reverse-engineer any of the software comprising or in any way making up a part of our Services;
Circumvent feature restrictions through unauthorized means, including multi-accounting or reverse engineering; or
Use the Services to generate, redistribute, or commercialize any AI-generated content without PilotAI's prior written consent.

INVESTMENT RISK DISCLOSURE AND REGULATORY STATUS

A. Regulatory Status

PilotAI is NOT:

A registered investment adviser under the Investment Advisers Act of 1940 or any state investment adviser statute;
A registered broker-dealer under the Securities Exchange Act of 1934 or any state broker-dealer statute;
A registered commodity trading adviser, commodity pool operator, or introducing broker under the Commodity Exchange Act;
A member of FINRA, SIPC, or any securities exchange; or
A licensed financial planner, tax adviser, or fiduciary of any kind.

B. Educational Purpose Only

All Services, including but not limited to AI-generated signals, alerts, projected returns, trade probabilities, option pricing estimates, chatbot responses, and market analysis, are provided strictly for educational and informational purposes. Nothing in PilotAI constitutes:

A recommendation or solicitation to buy, sell, or hold any security, option, futures contract, cryptocurrency, or other financial instrument;
Personalized investment advice tailored to your individual circumstances;
Tax, legal, or financial planning advice; or
A guarantee or promise of investment performance or returns.

C. General Investment Risks

All investments involve risk, including the risk of total loss of principal. The value of your investments may fluctuate significantly based on market conditions and there is no guarantee that any investment strategy will be successful. Past performance is not indicative of future results. You should carefully consider your financial goals and risk tolerance before making any investment decisions. You acknowledge that you are fully responsible for any investment decisions you make.

D. Options-Specific Risk Disclosure

Options trading involves substantial risk and is not suitable for all investors. Before trading options, you should:

Cryptocurrencies and digital assets are highly volatile and speculative. Prices can fluctuate dramatically in short periods.
Cryptocurrency markets operate 24/7 and may be subject to extreme volatility, limited liquidity, and market manipulation.
The regulatory landscape for cryptocurrencies is evolving. Digital assets may be subject to changing regulations under federal and state securities laws, the Commodity Exchange Act, and applicable anti-money-laundering requirements.
PilotAI does not custody, trade, or facilitate transactions in any cryptocurrency or digital asset.
Digital asset information displayed on PilotAI is for informational purposes only and does not constitute an endorsement, recommendation, or solicitation.

F. Hypothetical and Projected Performance

Any projected returns, backtested results, or hypothetical performance data displayed by PilotAI:

Are generated by AI algorithms based on historical data and assumptions that may not reflect actual market conditions;
Do not represent actual trading results and should not be interpreted as indicative of future performance;
May not account for all fees, commissions, slippage, taxes, or other costs associated with actual trading;
Are inherently limited and subject to the benefit of hindsight; and

FEES, BILLING, AND SUBSCRIPTION MANAGEMENT

A. Payment and Billing Cycle

Paid subscriptions are billed on a recurring basis as specified at the time of purchase (monthly or annually). Payments are processed through a third-party payment processor. By subscribing, you authorize PilotAI or its designated payment processors to charge your selected payment method on a recurring basis until you cancel.

B. Automatic Renewal

YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW at the end of each billing period at the then-current rate unless you cancel before the renewal date. You will receive a reminder notification at least seven (7) days before each renewal. You may cancel at any time through your account settings or by contacting PilotAI support at [email protected].

YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD UNLESS YOU CANCEL.

C. Cancellation and Refund Policy

Users may cancel their paid subscription at any time through their account settings or by contacting PilotAI support at [email protected]. Cancellations take effect at the end of the current billing cycle. Refunds will be considered only for users who cancel within fourteen (14) days of initial purchase. Beyond this period, no refunds shall be issued unless otherwise required by applicable law.

D. Changes to Subscription Pricing

PilotAI reserves the right to adjust subscription fees at any time. Price changes will be communicated to existing subscribers with at least thirty (30) days' notice before taking effect, giving users an opportunity to cancel their subscription before such changes become effective. Continued use of the paid Services after the effective date of new pricing constitutes acceptance of the updated fees.

E. Billing Disputes

Users must report any billing disputes within thirty (30) days of the charge date. Failure to do so may result in the waiver of the dispute. If PilotAI determines, in its sole discretion, that a charge was made in error, we will issue a credit or refund to your account.

INTELLECTUAL PROPERTY RIGHTS

All content, data, software, algorithms, AI models, designs, and any other materials provided through PilotAI (collectively, "Proprietary Materials") are the exclusive property of PilotAI or its licensors.

Subject to your compliance with this Agreement, PilotAI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Proprietary Materials solely for personal, non-commercial purposes.

You shall not: (a) reproduce, modify, distribute, sell, license, or otherwise exploit the Proprietary Materials without the express written consent of PilotAI; or (b) decompile, reverse engineer, or disassemble any software, algorithms, or AI models provided by PilotAI.

All trademarks, service marks, logos, and trade names displayed on PilotAI are the property of PilotAI or third parties. You may not use any of these marks without the prior written permission of PilotAI or the applicable owner.

USER-GENERATED CONTENT AND PLUGINS

Users may have the option to integrate images, plugins, or other content into their interactions with PilotAI. Users are responsible for ensuring that any content integrated complies with these Terms of Service and applicable laws, and does not infringe upon the intellectual property rights of any third party.

Users retain ownership of any images or plugins they integrate into PilotAI. However, by integrating such content, users grant PilotAI a worldwide, non-exclusive, royalty-free license to use, display, and distribute these materials for the limited purposes of: (a) providing and improving PilotAI; (b) promoting the services offered by PilotAI; and (c) developing new technologies and services offered by PilotAI.

THIRD-PARTY SERVICES AND INTEGRATIONS

PilotAI may provide access to third-party websites, software, data providers, or services (collectively, "Third-Party Services") solely for your convenience. PilotAI does not endorse, control, or assume responsibility for any content, privacy policies, terms, or practices of these Third-Party Services.

Users acknowledge and agree that their use of Third-Party Services is at their own risk. PilotAI shall not be liable for any damages, losses, or issues arising from the use of or reliance on Third-Party Services, including but not limited to data loss, security breaches, or financial loss.

Any data shared with or provided to Third-Party Services is governed by their respective privacy policies and terms. Users are strongly encouraged to review these policies before using Third-Party Services.

CHATBOT LIMITATIONS AND USAGE

PilotAI's AI chatbot is provided for informational and educational purposes. You acknowledge and agree that:

The chatbot does not provide personalized investment advice and is not a substitute for a licensed financial adviser, broker, or planner;
Chatbot responses are algorithmically generated and may contain errors, omissions, or inaccuracies;
Any mention of specific securities, options, or other financial instruments by the chatbot is informational only and does not constitute a recommendation to buy, sell, or hold;
You should independently verify any information provided by the chatbot before making financial decisions;
The chatbot may not have access to the most current market data or may rely on data that is delayed; and
PilotAI assumes no liability for any actions you take based on chatbot responses.

DISCLAIMER OF WARRANTIES

YOUR USE OF OUR SERVICES, AND THE PERSONAL INFORMATION YOU PROVIDE, IS AT YOUR SOLE DISCRETION AND RISK. OUR SERVICES AND ALL MATERIALS, INFORMATION, PRODUCTS, AND SERVICES INCLUDED THEREIN ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND FROM US.

We expressly disclaim all warranties of any kind, express, implied, or statutory, relating to our Services, content, and/or user information, including without limitation the warranties of title, merchantability, fitness for a particular purpose, non-infringement of proprietary rights, course of dealing, or course of performance. We disclaim any warranties, express or implied:

Relating to the availability, security, accuracy, reliability, timeliness, and performance of PilotAI, its content, and/or user information;
That PilotAI will be error-free or that any errors will be corrected;
That PilotAI will be free from electronic viruses;
Relating to the performance, accuracy, quality, currency, completeness, or usefulness of any information provided by PilotAI, including AI-generated signals, alerts, projections, chatbot responses, or other algorithmic outputs; or
That any AI-generated content meets any particular standard of accuracy or reliability.

No advice or information, whether oral or written, obtained by you from PilotAI shall create any warranty not expressly stated in this Agreement. If you choose to rely on such information, you do so solely at your own risk.

LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PILOTAI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, EVEN IF PILOTAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE TOTAL LIABILITY OF PILOTAI FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT EXCEED THE TOTAL FEES PAID BY YOU TO PILOTAI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

PILOTAI SHALL NOT BE LIABLE FOR ANY LOSSES, DAMAGES, OR EXPENSES ARISING FROM: (A) YOUR INVESTMENT DECISIONS, WHETHER OR NOT INFLUENCED BY INFORMATION FROM PILOTAI; (B) ERRORS, INACCURACIES, OR OMISSIONS IN AI-GENERATED CONTENT; (C) MARKET FLUCTUATIONS OR ECONOMIC CONDITIONS; OR (D) THIRD-PARTY SERVICE FAILURES.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless PilotAI, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Services; (b) your breach of this Agreement; (c) any violation of applicable laws; or (d) any investment decisions you make based on information obtained from PilotAI.

PRIVACY AND DATA SECURITY

PilotAI collects and processes personal data as outlined in its Privacy Policy. By using the Services, you consent to data collection and processing for regulatory compliance, service improvement, and fraud prevention. PilotAI does not sell user financial data for marketing purposes. For full details on how your information is collected, used, and protected, please review our Privacy Policy.

TERMINATION OF SERVICES

You may terminate the relationship at any time by providing written notice to us at [email protected]. If you terminate the relationship, you will be responsible for paying any outstanding fees up to the date of termination.

We may terminate or suspend your access to our Services, in our sole discretion, at any time for any reason, including but not limited to violations of these Terms of Service, misuse of the Services, or non-payment of subscription fees. Additionally, failure to pay subscription fees may result in automatic downgrade to the free subscription tier or account suspension.

Any termination shall not affect your obligations under these Terms of Service which by their nature are intended to survive termination, including but not limited to provisions regarding intellectual property, confidentiality, indemnification, and limitation of liability.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law provisions.

DISPUTE RESOLUTION

Any disputes, claims, or controversies arising out of or relating to this Agreement shall first be resolved through good-faith mediation between the user and PilotAI.

If mediation does not result in a resolution within thirty (30) days of initiation, the dispute shall be referred to and finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its arbitration rules in effect at the time the arbitration is initiated.

The arbitration shall be conducted by a single neutral arbitrator, mutually agreed upon by the parties, or, if the parties cannot agree, selected by the AAA. The arbitration shall take place in the State of Florida, unless the parties agree otherwise, and may be conducted virtually or via written submissions if mutually agreed upon.

The parties agree that arbitration shall be conducted only on an individual basis and that no party shall have the right or authority for any disputes to be arbitrated as a class action, collective action, or representative action.

Each party shall bear its own attorneys' fees and costs, except as otherwise required by applicable law or the AAA rules.

Users agree not to initiate any court action without first exhausting the mediation and arbitration process.

CLASS ACTION WAIVER

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN PILOTAI AND YOU INDIVIDUALLY. TO THE FULL EXTENT PERMITTED BY LAW:

No arbitration or proceeding shall be joined with any other;
There is no right or authority for any dispute to be arbitrated or resolved on a class-action basis or to utilize class action procedures;
There is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

You agree that you may bring claims against PilotAI only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

WAIVER AND SEVERABILITY

Any waiver of any provision contained in these Terms of Service shall not be deemed to be a waiver of any other right, term, or provision of these Terms of Service. If any provision in these Terms of Service is determined to be wholly or partially invalid, illegal, or unenforceable, such provision shall be enforced to the extent it is legal and valid and the validity, legality, and enforceability of the remaining provisions shall in no way be affected or impaired thereby.

ASSIGNMENT

You may not assign these Terms of Service (by operation of law or otherwise) without our prior written consent, and any prohibited assignment will be null and void. We may assign these Terms of Service or any rights hereunder without your consent.

AMENDMENTS

PilotAI reserves the right, at its sole discretion, to modify or replace any part of this Agreement at any time. If we make material changes, we will use reasonable efforts to provide notice through the PilotAI platform, via email, or other means at least thirty (30) days before the changes take effect.

Modifications will become effective on the date specified in our notice. Your continued use of PilotAI after such date constitutes acceptance of the revised Terms of Service. If you do not agree to the changes, you must discontinue the use of PilotAI before the effective date.

ELECTRONIC COMMUNICATIONS AND CONSENT

By using PilotAI, you consent to receive electronic communications from us, including but not limited to emails, push notifications, and in-app messages. You agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing pursuant to the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and the Uniform Electronic Transactions Act (UETA).

MARKETING COMMUNICATIONS, TCPA CONSENT, AND OPT-OUT RIGHTS

A. Express Written Consent for Marketing Communications

PilotAI will only send you marketing and promotional communications (including but not limited to emails, SMS/text messages, push notifications, and telephone calls) if you have provided your express written consent at the time of account registration or through your account settings. Marketing consent is entirely optional and is not required as a condition of purchasing any service, creating an account, or accessing the platform.

B. Telephone Consumer Protection Act (TCPA) Disclosure

By affirmatively opting in to receive marketing communications from PilotAI, you provide your prior express written consent under the Telephone Consumer Protection Act (47 U.S.C. § 227) and applicable FCC regulations to receive promotional calls, text messages, and/or pre-recorded messages from PilotAI or its authorized agents at the telephone number(s) you have provided, including through the use of an automatic telephone dialing system (ATDS) or artificial/pre-recorded voice technology. You acknowledge that:

Consent is not required as a condition of purchasing any goods or services from PilotAI;
Message and data rates may apply based on your mobile carrier plan;
Message frequency may vary depending on your subscription tier, account activity, and preferences;
You may revoke your consent at any time (see Section C below); and
PilotAI will honor all opt-out and do-not-contact requests within ten (10) business days.

C. How to Opt Out / Do Not Contact

You may withdraw your consent to receive marketing communications at any time through any of the following methods:

Reply STOP to any SMS/text message received from PilotAI;
Click the "unsubscribe" link at the bottom of any marketing email;
Adjust your notification preferences in your PilotAI account settings;
Email us at [email protected] with the subject line "Do Not Contact"; or
Call us at (877) 766-2208 and request to be added to our internal do-not-contact list.

Upon receiving your opt-out request, PilotAI will cease sending marketing communications to the specified channel(s) within ten (10) business days. Please note that opting out of marketing communications does not affect transactional or service-related communications (such as account alerts, billing notifications, security notices, or changes to these Terms of Service), which you will continue to receive as long as you maintain an active account.

D. Internal Do-Not-Contact List

PilotAI maintains an internal do-not-contact list in accordance with the TCPA and applicable state telemarketing and do-not-call laws, including the FTC's Telemarketing Sales Rule (16 CFR Part 310). If you request to be added to our do-not-contact list, we will suppress your contact information from all marketing outreach channels and retain your opt-out preference for a minimum of five (5) years, or as otherwise required by applicable law.

E. Third-Party Marketing

PilotAI does not share your phone number, email address, or other contact information with third parties for their own marketing purposes without your separate, explicit consent. Any such sharing requires a distinct opt-in that is clearly separate from any other consent you provide.
